Nexra Terms of Use

These Terms of Use govern your access to and use of the Nexra website and services, operated by R & S Consulting Pty Ltd (ABN 83 155 017 986). By using this website you agree to these Terms.

1. Acceptance of Terms

These Terms of Use ("Terms") are a legal agreement between you and R & S Consulting Pty Ltd (ABN 83 155 017 986), trading as "Nexra" ("Nexra", "we", "us" or "our"). By accessing or using the Nexra website (the "Website"), submitting information through our forms, or otherwise engaging with our services, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Website.

2. Definitions

"Services" means the technology delivery services offered by Nexra, including staff augmentation, outcome-based delivery, program and project leadership, business analysis, software development, quality assurance and testing, and AI-enabled delivery operations. "Content" means all material made available on the Website. "You" and "your" refer to the individual or organisation accessing the Website.

3. Use of the Website

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Website by any third party. You must not:

  • attempt to gain unauthorised access to any part of the Website, its servers, or any connected systems or networks;
  • introduce viruses, malware, or any other malicious or harmful code;
  • use automated means (including scrapers, bots or harvesters) to access, collect or extract data from the Website except as expressly permitted;

  • use the Website in any way that could damage, disable, overburden or impair it, or interfere with any other party's use.

4. Services and Engagements

Information on the Website about our Services is provided for general information only and does not constitute an offer capable of acceptance. Any engagement for Services will be governed by a separate written agreement (such as a statement of work, services agreement or master services agreement) between Nexra and the client. In the event of any inconsistency between these Terms and a signed engagement agreement, the engagement agreement prevails for that engagement.

5. Candidate Submissions

If you submit your details or a curriculum vitae through the Delivery Network or candidate registration forms, you represent and warrant that the information you provide is true, accurate, current and complete, that you are entitled to share it, and that it does not infringe any third-party rights. You authorise Nexra to collect, store, review and share your information in accordance with our Privacy Policy for the purpose of identifying current and future engagement opportunities.

6. Client Enquiries

If you submit an enquiry on behalf of an organisation, you represent that you are authorised to do so. Submitting an enquiry does not create any obligation on Nexra to provide Services, nor any binding contract, until a written engagement agreement is executed.

7. Intellectual Property

All Content on the Website, including text, graphics, logos, the "Nexra" name and brand, layout, design, and software, is owned by or licensed to R & S Consulting Pty Ltd and is protected by Australian and international intellectual property laws. You may view and print Content for your own internal, non-commercial use only. You must not reproduce, distribute, modify, republish, or create derivative works from any Content without our prior written consent.

8. Privacy

Your use of the Website and submission of information is also governed by our Privacy Policy, which forms part of these Terms. Please review the Privacy Policy to understand how we collect, use, store and disclose personal information.

9. Third-Party Links

The Website may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse and are not responsible for the content, products, services or practices of any third-party site. 11. Limitation of Liability

To the maximum extent permitted by law, Nexra (including R & S Consulting Pty Ltd and its directors, officers, employees, contractors, related entities, successors and assigns) will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of, or inability to use, the Website. Where our liability cannot be excluded but can be limited, our total liability is limited, at our option, to re-supplying the relevant information or service, or paying the cost of having it re-supplied.

12. Indemnity

You agree to indemnify and hold harmless Nexra and R & S Consulting Pty Ltd from and against any claims, liabilities, damages, losses and expenses (including reasonable legal costs) arising out of or connected with your breach of these Terms, your misuse of the Website, or your violation of any law or the rights of a third party.

13. Suspension and Termination

We may, at our discretion and without notice, suspend, restrict or terminate your access to the Website (in whole or in part) where we reasonably believe you have breached these Terms or where required to protect the Website, our users, or our legitimate interests.

14. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia in respect of any dispute arising in connection with these Terms or the Website.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, technology, or legal obligations. The current version is always available on this Website and applies from the date it is published. Your continued use of the Website after any change constitutes acceptance of the updated Terms.
